Terms of Use

This is the legal and binding rules that govern all sections. By browsing, or using this site you agree to all of the following. TecData, and any other person involved in transmitting information will not be liable for any loss that results from a cause over which that entity does not have direct control. Such causes include, but are not limited to, (1) the failure of electronic or mechanical equipment or communication lines; (2) telephone or other interconnect problems; (3) bugs, errors, configuration problems or the incompatibility of computer hardware or software; (4) the failure or unavailability of Internet access; (5) problems with Internet service providers or other equipment or services relating to your computer or network; (6) problems with intermediate computer or communications networks or facilities; (7) problems with data transmission facilities or your telephone, cable or wireless service; or (8) unauthorized access, theft, operator errors, severe weather, earthquakes, other natural disasters or labor disputes. TecData is also not responsible for any damage to your computer, software, modem, telephone, wireless device or other property resulting in any way from your use of TecData information. The information provided is the property of TecData and is protected by applicable copyright law. You agree not to reproduce, retransmit, disseminate, sell, distribute, publish, broadcast, circulate or commercially exploit the information in any manner without the express written consent of TecData, or any other person with the authority to give such consent. You agree that you will not use the information for any unlawful purpose. You further agree to comply with all reasonable written requests from TecData intended to protect TecData's respective rights.

You will be responsible for the confidentiality and use of your access number(s), password(s) and account number(s). You agree not to hold TecData liable for any damages of any kind resulting from your decision to disclose your access number(s), password(s), or account number(s) to any third party, including but not limited to entities that aggregate account information or web site content, or persons who are or claim to be acting as your agent, proxy, purchasing, or investment manager. You will be responsible for all orders entered through and under your access number(s), password(s) and account number(s), and any orders so received by TecData will be deemed to have been received from you. All orders shall be deemed to be made at the time received by TecData and in the form received. You agree immediately to notify TecData if you become aware of:

Any loss or theft of your access number(s), password(s) and/or account number(s); or
Any unauthorized use of any of your access number(s), password(s) and/or account number(s),
Any failure by you to receive a message that an order initiated by you; or
Any failure by you to receive accurate written confirmation of an order or its execution within five (5) business days; or
Any receipt of confirmation of an order that you did not place, or any similarly inaccurate or conflicting report or Information.

With the exception of applications commonly known as Web Browser software, or other applications formally approved by TecData in writing, you agree not to use any software, program, application or any other device to access or log on to TecData's computer systems, Web site or proprietary software or to automate the process of obtaining, downloading, transferring or transmitting any content, information or quotes to or from TecData's computer systems, web site or proprietary software. You agree to defend, indemnify and hold TecData, harmless from and against any and all claims, losses, liability costs and expenses (including but not limited to attorneys' fees) arising from your violation of this Agreement, state or federal securities laws or regulations, or any third party's rights, including but not limited to infringement of any copyright, violation of any proprietary right and invasion of any privacy rights. This obligation will survive the termination of this Agreement. TecData reserves the right to terminate your access to all of its TecData, TecData.COM, and other affiliate owned or indirectly owned sites or any portion of them (including without limitation, the Information (including Research Reports) in its sole discretion, without notice and without limitation, for any reason whatsoever. TecData may terminate your access for reasons including, but not limited to, the unauthorized use of your account access information, breach of this Agreement, discontinuance of TecData's access to any information. TecData shall have no liability to you for terminating your access to TecData and TecData.COM you access by computer provides you with the capability to send electronic communications, such as e-mail, directly to TecData and interact within applicable areas of TecData.COM. You agree to the following terms with respect to your use of electronic communications through the TecData Terms of use: - TecData shall be entitled, but is not obligated, to review or retain your electronic communications for, among other reasons, monitoring the quality of service you receive, your compliance with this Agreement and the security of TecData. TecData is entitled to disclose your electronic communications to the same extent it may disclose other information about you or your account(s) as provided elsewhere in your account agreement(s). In no event will TecData be liable for any costs, damages, expenses or any other liabilities incurred by you as a result of such activities by TecData:

- You will not use any electronic communication feature of TecData, or TecData.COM for any purpose that is unlawful, abusive, harassing, libelous, defamatory, obscene or threatening. You will not use TecData, or TecData.COM to solicit TecData customers or others or participate in the solicitation of TecData customers or others for any purpose;
- You will not upload, post, reproduce or distribute any information, software or other material protected by copyright or any other intellectual property right (as well as rights of publicity and privacy) without first obtaining the permission of the owner of such rights;
- You will not in any way express or imply that TecData endorses the opinions in your electronic communications without the prior written consent of TecData;
- If you use the TecData^®, that you access by computer, you agree to provide TecData with your e-mail address, promptly provide TecData with any changes to your e-mail address and accept electronic communications from TecData at the e-mail address you specify; and
- You agree to be bound by any affirmance, assent or agreement you transmit through the TecData, or TecData^® you access by computer, including but not limited to any consent you give to receive communications from us solely through electronic transmission. You agree that, when in the future you click on an "I agree", "I accept", "I consent" or other similarly worded "button" or entry field with your mouse, keystroke or other computer device, your agreement or consent will be legally binding and enforceable and the legal equivalent of your handwritten signature. This Agreement may be modified by TecData at any time. You confirm your acceptance of the modification by not closing and/or by continuing to use your account, and or business with TecData. This Agreement, and all future agreements you shall enter into with TecData, unless otherwise indicated on such other agreement, shall be governed by the law of the state of Nevada, without regard to conflicts of law principles thereof.

This is the case regardless of whether you reside or transact business with TecData in Nevada or elsewhere, except that the Federal Arbitration Act shall govern arbitration provisions.

Disclaimer of Warranties. THERE IS NO WARRANTY OF MERCHANTABILITY, NO WARRANTY OF FITNESS FOR A PARTICULAR USE AND NO WARRANTY OF NON-INFRINGEMENT. THERE IS NO OTHER WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE INFORMATION, INCLUDING RESEARCH REPORTS, OR ANY ASPECT OF TecData INVESTOR RELATIONS GROUP (INCLUDING BUT NOT LIMITED TO INFORMATION ACCESS AND ORDER PLACEMENT OR EXECUTION). YOU UNDERSTAND AND EXPRESSLY AGREE THAT USE OF TecData'S SERVICES ARE AT YOUR SOLE RISK, THAT ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF TecData'S SERVICES IS AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL AND/OR DATA.

EXCEPT AS EXPRESSLY SET FORTH ON OUR SITES, TecData DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT AND IT MAKES NO WARRANTY OR REPRESENTATION REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF TecData'S SERVICES, REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH TecData'S SERVICES, REGARDING ANY GOODS OR SERVICES PURCHASED OR OBTAINED THROUGH TecData'S SERVICES, REGARDING ANY TRANSACTIONS ENTERED INTO THROUGH TecData'S SERVICES OR THAT TecData'S SERVICES WILL MEET ANY USER'S REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE. TecData WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OF ANY KIND RESULTING FROM THE USE OF OR THE INABILITY TO USE TecData'S SERVICES, RESULTING FROM ANY GOODS OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH TecData'S SERVICES, RESULTING FROM LOSS OF, UNAUTHORIZED ACCESS TO OR ALTERATION OF A USER'S TRANSMISSIONS OR DATA OR FOR THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, USE, DATA OR OTHER INTANGIBLES, EVEN IF TecData HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify, defend and hold harmless TecData, its affiliates, officers, directors, employees, consultants and agents from any and all third party claims, liability, damages and/or costs (including, but not limited to, attorneys fees) arising from your use of our services, your violation of the Terms of Service or your infringement, or infringement by any other user of your account, of any intellectual property or other right of any person or entity. The Terms of Service will inure to the benefit of TecData's successors, assigns and licensees. These Terms of Service will be governed by and construed in accordance with the laws of the State of Nevada, without giving effect to its conflict of laws provisions or your actual state or country of residence. If for any reason a court of competent jurisdiction finds any provision or portion of the Terms of Service to be unenforceable, the remainder of the Terms of Service will continue in full force and effect. These Terms of Service constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of the Terms of Service will be effective only if in writing and signed by TecData.

TecData AND/OR ITS RESPECTIVE SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY OF THE INFORMATION CONTAINED IN THE DOCUMENTS AND RELATED GRAPHICS PUBLISHED ON THIS SERVER FOR ANY PURPOSE. ALL SUCH DOCUMENTS AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TecData AND/OR ITS RESPECTIVE SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. IN NO EVENT SHALL TecData AND/OR ITS RESPECTIVE SUPPLIERS BE LIABLE FOR ANY SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF SOFTWARE, DOCUMENTS, PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR INFORMATION AVAILABLE FROM THIS SERVER.
